Terms of Service
These terms cover how Vendio works, what we are responsible for, and what buyers and vendors are responsible for.

1. Acceptance of these terms
These Terms of Service govern your use of Vendio, including our website, marketplace, vendor storefronts and vendor tools (together, the "Service"). By creating an account, placing an order, opening a store, or otherwise using the Service, you agree to these Terms.
If you do not agree to these Terms, please do not use the Service. If you are using the Service on behalf of a business, you confirm that you are authorised to accept these Terms for that business.
2. What Vendio is
Vendio is a commerce platform. We give local businesses ("vendors") tools to publish a storefront, list products, and receive and manage orders, and we give shoppers ("buyers") one place to discover those stores and place orders with them.
Vendio is not the seller of the products listed on the Service. Each order is an agreement between the buyer and the vendor. The vendor is responsible for the product, its description and price, its availability, and for fulfilling the order. Vendio provides the platform on which that transaction is arranged.
3. Account eligibility
You must be able to form a binding contract to use the Service. The Service is not directed to children, and we do not knowingly allow account registration by anyone under the age at which they can lawfully enter into a contract where they live.
You are responsible for the accuracy of the information you give us, for keeping your password confidential, and for activity that takes place under your account. Tell us promptly if you believe your account has been used without your permission.
4. Buyer accounts and guest orders
You can create a buyer account to save addresses, review your order history and receive order updates. Some stores also allow you to order as a guest without creating an account, in which case you provide a contact name, phone number and email address so the vendor can fulfil the order and reach you about it.
Whether you order as a registered buyer or as a guest, the same terms apply to the order itself.
5. Vendor accounts and stores
A vendor account lets you create a store, publish products, configure how you fulfil orders, and invite team members to help you run the store.
You are responsible for everything done under your store, including by team members you invite and the permissions you grant them. You are responsible for operating your business lawfully, including any licences, registrations, permits and tax obligations that apply to what you sell.
6. Store and product information
Vendors are responsible for the accuracy of their store and product information. This includes product names, descriptions, images, categories, prices, availability and stock levels, pickup and delivery settings, delivery fees, and the contact details shown on the storefront.
Vendio does not verify, inspect or endorse the products listed by vendors, and does not independently confirm that product information is accurate or complete. Buyers should contact the store directly if they need more detail about a product before ordering.
7. Placing orders
When you place an order you are making an offer to buy from that vendor. An order begins as pending and the vendor confirms it. The vendor then updates the order as it progresses, for example to ready for pickup, out for delivery, or fulfilled.
Vendors may decline or cancel an order, including where an item turns out to be unavailable, where the delivery address falls outside the area they serve, or where they cannot complete the order for another legitimate reason.
Order status updates are provided by the vendor. Vendio relays them but does not independently verify that an order has been prepared, dispatched or handed over.
8. Pricing, fees and taxes
Vendors set their own prices, delivery fees and any minimum order requirements. The price shown at checkout is the price set by the vendor for that store.
Prices are shown in the currency configured by the store. Vendors are responsible for charging and accounting for any taxes or duties that apply to their sales.
Vendors are responsible for keeping prices accurate. If a price is listed incorrectly, the vendor may need to contact the buyer to correct it or cancel the order.
9. Payment
Vendio does not currently process payments for orders. Payment is arranged directly between the buyer and the vendor using the methods that vendor accepts, which may include cash on delivery, card on delivery using the vendor's own card facilities, or bank transfer to the vendor's account.
Because payment does not pass through Vendio, Vendio does not hold funds for an order, does not collect payment on a vendor's behalf, does not pay out order proceeds to vendors, and cannot reverse a payment or process a chargeback. Vendio does not collect or store card numbers for orders.
Any bank details a vendor publishes for bank transfer are the vendor's own. Buyers should confirm payment details with the store before transferring funds.
If we introduce online card payments in future, we will make the applicable terms available before you use that feature.
10. Pickup and delivery
Vendors choose whether they offer pickup, delivery, or both, and set their own delivery fees and the areas they serve. Delivery is carried out by the vendor or by someone the vendor arranges.
Any timeframes shown or discussed are estimates given by the vendor. Vendio does not guarantee that an order will be ready or delivered by a particular time.
For pickup orders, the buyer collects from the location the vendor provides. For delivery orders, the buyer is responsible for giving an accurate address and contact number, and for being reachable so the delivery can be completed.
11. Changes, cancellations and refunds
Changes and cancellations are handled by the vendor. If you need to change or cancel an order, contact the store as soon as possible — Vendio does not give buyers a self-service way to cancel or modify an order once it is placed.
Because payment for orders is arranged directly between buyer and vendor, refunds are also handled directly between buyer and vendor, on whatever terms that vendor applies. Vendio does not issue refunds for orders and cannot compel a vendor to do so.
Vendors are responsible for making their own cancellation and refund practices clear to their customers, and for honouring any consumer rights that apply to their sales.
If you cannot resolve a problem with a vendor, you can contact us and we will look at whether the vendor is meeting these Terms. That may lead to action on the vendor's account, but it is not a refund mechanism.
12. Prohibited products and conduct
You may not use the Service to list, sell, buy or promote anything you are not legally permitted to trade, or that we reasonably consider unsafe, deceptive or abusive.
- Illegal goods and services, stolen property, or counterfeit and infringing items.
- Products you are not licensed or permitted to sell, including regulated goods where you lack the required approval.
- Weapons, controlled drugs, and other restricted items where their sale is not lawful and properly licensed.
- Content that is unlawful, hateful, harassing, obscene, or that infringes someone else's rights.
- Misleading listings, fake stores, fake orders, or misrepresenting who you are or who you are acting for.
- Fraud, payment abuse, or attempting to obtain goods or money by deception.
- Interfering with the Service, including attempting to gain unauthorised access, scraping at a scale that burdens the platform, probing or testing our security without permission, or introducing malicious code.
- Using another person's account, or collecting other users' personal information for purposes unrelated to fulfilling an order.
13. Content you provide
You keep ownership of the content you upload, such as your store name and description, product information, and images. By uploading it you give Vendio permission to host, store, reproduce and display that content as needed to operate and promote the Service, including showing your store and products in the marketplace and in search results.
You confirm that you have the rights to the content you upload and that it does not infringe anyone else's rights. We may remove content that breaches these Terms or that we are required to remove.
14. Vendio's intellectual property
The Service itself — including the Vendio name and logo, the platform software, and the design of our pages — belongs to Vendio or its licensors. These Terms do not give you any right to use our branding, copy our platform, or create derivative works from it, except as needed to use the Service normally.
15. Vendor plans and platform fees
Vendio offers vendor accounts on a single published plan. The current price is shown on our pricing section.
Vendio does not currently collect subscription payments through the platform. Any billing arrangement is communicated to vendors directly. If we introduce in-platform billing, we will make the applicable terms available before charging you.
16. Availability of the Service
We work to keep the Service available and working properly, but we do not promise that it will be uninterrupted or error-free. The Service may be unavailable during maintenance, updates, or because of problems outside our control, and features may change or be withdrawn.
17. Suspension and termination
You can stop using the Service at any time. We may suspend or close an account, remove a store or listing, or restrict access to the Service where we reasonably believe these Terms have been breached, where it is necessary to protect buyers, vendors or the platform, or where we are required to do so.
Where it is reasonable to do so, we will tell you why. Closing an account does not by itself resolve obligations already owed between a buyer and a vendor for an order that has been placed.
18. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the extent permitted by law, we do not make warranties about the Service, and we do not warrant the products, conduct, reliability or legal compliance of any vendor or buyer using it.
Nothing in these Terms limits any rights you have under law that cannot be limited by agreement.
19. Limitation of liability
To the extent permitted by law, Vendio is not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, arising out of your use of the Service.
Because orders are agreements between buyers and vendors, Vendio is not responsible for the quality, safety, legality or delivery of products ordered through the Service, for a vendor's failure to fulfil an order, or for payments arranged directly between a buyer and a vendor.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
20. Changes to the Service
Vendio is actively being developed. We may add, change or remove features, and we may change how parts of the Service work. Where a change materially reduces what your account can do, we will make reasonable efforts to tell you.
21. Changes to these terms
We may update these Terms as the Service develops. When we do, we will change the "Last updated" date at the top of this page. If a change is significant, we will take reasonable steps to bring it to your attention.
Continuing to use the Service after the Terms change means you accept the updated Terms.
22. Governing law
Vendio is operated for use in Trinidad and Tobago, and these Terms are intended to be governed by the laws of Trinidad and Tobago. Where possible, we would prefer to resolve any dispute with you directly, so please contact us first.
